Terms of Service

1. Eligibility & accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for your account, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use.

2. The Service

Tesselith lets you compose, schedule, publish, and analyze content across third-party social networks you connect. We provide the Service on a software-as-a-service basis and may add, change, or remove features over time. Publishing depends on third-party platforms and their APIs, which we do not control and which may change, rate-limit, or restrict access at any time.

3. Connected accounts & platform terms

When you connect a social account, you authorize us to access it and act on your behalf within the permissions you grant. You are solely responsible for complying with the terms, policies, and community guidelines of each connected platform. Your use of those platforms is governed by their terms, not ours. You may disconnect any account at any time.

4. Your content

You retain all rights to the content you create or upload ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely to operate and provide the Service (including scheduling and publishing it to the destinations you choose). You represent that you have the rights necessary to post Your Content and that it does not infringe any third party's rights.

5. Acceptable use

You agree not to misuse the Service. Prohibited conduct is described in our Acceptable Use Policy, which is incorporated into these Terms. We may suspend or terminate accounts that violate it.

6. Plans, billing & trials

• Paid plans are billed in advance on a recurring basis (monthly or annual) through our payment provider, Razorpay.
• Trials, where offered, convert to a paid plan unless cancelled before the trial ends, or downgrade to the Free plan where applicable.
• Fees are stated exclusive of taxes unless noted; you are responsible for applicable taxes.
• You can cancel at any time; cancellation takes effect at the end of the current billing period.
• Refunds are governed by our Refund & Cancellation Policy.

7. Fair use & limits

Each plan includes limits (for example, connected channels, scheduled posts, storage, and AI credits). We may enforce these limits and apply reasonable rate limits to protect the Service and to respect the constraints of connected platforms.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by Tesselith, Inc. and protected by law. We grant you a limited, revocable, non-transferable license to use the Service per these Terms. You may not copy, reverse engineer, or resell the Service except as permitted by law.

9. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends and we may delete Your Content after a reasonable period, subject to our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that publishing will always succeed, that third-party platforms will remain available, or that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Tesselith, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve (12) months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Tesselith, Inc. harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Your continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there, except where mandatory local law provides otherwise.
